AFAIK there is no _Australian_ department for registering charities. That
is handled on a state by state basis. I think it more important that the
charity be an ATO approved org as that will determine whether tax is
levied on the funds. So I would say something along the lines of...


 22.2 If on winding up of the Organisation, any property of the
 Organisation remains after satisfaction of the debts and liabilities of
 the Organisation and the costs, charges and expenses of that winding up,
 that property shall not be paid to or distributed among the members of
 the Organisation but shall be distributed to one ore more charity
 organisations that meet the guidelines of the Australian Taxation Office 
(or it's successor) in regard to charitable organisations.

How does that sound?
